In the scenario of innovation, trade secrets have emerged as one of the important form of intellectual property. This paper analyses in brief the meaning of trade secrets and the key elements which make information into a trade secret. After that, it has been ascertained that why a trade secrets need protection. The major threats to trade secret protection are unauthorized use, disclosure, acquisition and misappropriation. There also exist defenses which can be used against misappropriation of trade secrets. At last, the paper deals with the measures which provide help in protection of trade secrets.
