Title

ANALYSIS OF PREVENTION OF OPPRESSION AND MISMANAGEMENT

Abstract

ABSTRACT The idea of oppression and mismanagement in business is becoming disastrous for shareholders because enmity lays with being developed on paperwork. They are not given ad hoc jurisdiction to hear cases that could lead to the government favors by a special fraud investigative office run by the federal government. The statute mostly follows the precedent set by Sections 397 and 398 of the Companies Act of 1956, however there have been some major deviations. There has a dual impact of reducing and enhancing shareholder rights Section 241 of the Companies Act 2013 significantly enhance the emphasis of the remedy by adding the idea of disfavor given to members as an unacceptable behavior with the exception of internalized oppression, thus entangling behavior that was excluded. Section 397 of the Companies Act of 1956 addressed applications for poor management and persecution. An option to file a complaint under section 241 of the Companies Act of 2013 is provided. Under this NCLT has the power to direct the winding up under section 397 and 398. The right to petition a tribunal under section 241 where the minority restrictions are the same as those stated in the Companies Act of 1956 is provided by section 244(1).1
